Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the websites, products, services and software provided by BLan Technologies Ltd. ("BLan", "we", "us" or "our"). By visiting or using our website or services you agree to be bound by these Terms. If you do not agree to these Terms, do not use our services.
1. Definitions
- Account — the user account you create to access BLan services.
- Services — any product, software, support, or online service provided by BLan.
- Content — text, images, data, code, and other information submitted to or provided via the Services.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to form a binding contract with BLan. By using the Services you represent and warrant that you meet the eligibility requirements.
3. Accounts and Registration
To use certain Services you must register and create an Account. You agree to provide accurate, current and complete information, and to keep that information up-to-date. You are responsible for keeping your password and Account secure and for all activity under your Account.
4. Use of the Services
Subject to these Terms and payment of any applicable fees, BLan grants you a limited, non-exclusive, non-transferable right to access and use the Services solely for your internal business purposes. You will not (and will not allow others to): (a) copy, modify, distribute, sell, or lease any part of the Services; (b) reverse engineer, decompile or attempt to extract source code; (c) remove or obscure proprietary notices; or (d) use the Services to violate any law or infringe any third-party rights.
5. Fees and Payment
Fees for paid Services are described on our pricing pages or in a separate agreement. All fees are non-refundable except as expressly provided. You will pay all fees in accordance with the billing terms and applicable taxes. BLan may suspend or terminate Services for failure to pay.
6. Third-Party Integrations
The Services may integrate with third-party products or services. BLan is not responsible for third-party products, their availability, or their privacy and security practices. Use of third-party products is subject to the applicable third-party terms.
7. Intellectual Property
BLan and its licensors retain all rights, title and interest in and to the Services and their underlying technology, software, documentation and Content provided by BLan. You retain ownership of Content you submit, and you grant BLan a limited license to host, display and process that Content for the purpose of providing the Services.
8. Data Protection & Privacy
BLan’s collection, use and processing of personal data is described in our Privacy Policy. By using the Services you consent to BLan’s collection and use of your data as described in that policy.
9. Warranties and Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLAN DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BLAN DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL BLAN OR ITS SUPPLIERS BE LIABLE FOR (A) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, (B) LOST PROFITS, REVENUE, OR DATA, OR (C) DAMAGES ARISING FROM THIRD-PARTY SERVICES. BLAN’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO BLAN IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless BLan and its officers, directors, employees and agents from any claims, liabilities, damages, losses and expenses (including reasonable attorneys’ fees) arising out of: (a) your breach of these Terms; (b) your negligence or willful misconduct; or (c) your Content or use of the Services.
12. Termination
Either party may terminate the Services or your Account in accordance with the applicable agreement. On termination you will lose access to the Services and BLan may delete or archive your Content in accordance with the Privacy Policy. Any unpaid fees remain payable.
13. Changes to Terms
BLan may update these Terms from time to time. When we make material changes we will notify you by posting a notice on the Services or by email. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of the province of British Columbia and the federal laws of Canada. Any dispute arising under or related to these Terms will be resolved in the courts located in British Columbia, unless the parties agree otherwise.
15. Entire Agreement
These Terms, together with any applicable order form, subscription agreement or service-level agreement, constitute the entire agreement between you and BLan regarding the Services and supersede all prior agreements.
